Yodl Pay — Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your use of the Yodl Pay mobile application, website, and related services (“Services”).
The Services are operated by Yodl Association, Gartenstrasse 6, 6300 Zug, Switzerland (“Yodl Pay,” “Yodl”, “we,” “us,” or “our”).
By accessing or using Yodl Pay, you agree to these Terms. If you do not agree, you must stop using the Services.
Yodl Pay is a self-custodial wallet that allows users to make payments with digital assets onchain and, where supported, through connected payment networks. Yodl Pay does not hold user funds, execute transactions on behalf of users, or provide financial, custodial, or money transmission services. It is not a bank, payment institution, or other regulated financial entity. At no time does Yodl Pay have possession, custody, control, or authority over user crypto-assets or fiat funds, whether directly or indirectly, technically or legally.
Any regulated activities, including but not limited to currency conversion or settlement into traditional payment networks, are performed solely by licensed third-party partners operating under their own regulatory authorizations. Yodl Pay acts solely as a technology provider connecting users to such partners and does not itself engage in regulated activity.
2. Eligibility
You must be at least 18 years old and legally capable of entering binding agreements. Certain features may require identity verification to meet requirements set by the applicable provider or by local regulations.
3. Account and Wallet
When you create an account, Yodl Pay generates a self-custodial wallet through our technology partner, Privy. You remain the sole owner and controller of that wallet. Yodl Pay never has access to your private keys or funds.
You are solely responsible for maintaining access to your wallet and recovery credentials. Loss of access may result in permanent loss of assets, and Yodl Pay cannot recover them.
4. Location of Funds
Yodl never holds user funds.
All crypto-assets remain either (i) under the exclusive control of the user in the user’s self-custodial wallet, or (ii) under the custody and responsibility of an independent third-party provider once transferred by the user.
Under no circumstances are funds held for the account of Yodl.
5. Payments
Yodl Pay enables payments executed onchain from a self-custodial wallet.
For payments that settle into supported local or traditional payment networks, the Services connect to independent third-party providers that handle all conversion, settlement, and related compliance. Yodl Pay does not receive, hold, or process user funds at any point.
The current third-party providers include:
- AEON Tech Limited (Vietnam, the Philippines, and Brazil)
- Manteca/PLUS BILLETERA S.A. (Argentina)
- Holdstation/HSTW Pte Ltd (Vietnam)
When a payment is initiated into a supported payment network, the onchain funds are transferred directly to the provider’s designated address. Settlement into the local network takes place between the end user and the applicable provider. Yodl Pay is not a counterparty to these transactions, does not intermediate the flow of funds, and does not perform regulated financial activity.
Where Yodl Pay facilitates or administers identity verification workflows, Yodl Pay acts solely as a technical or administrative service provider on behalf of the applicable provider. All onboarding decisions, risk assessments, account approvals, suspensions, and terminations are made exclusively by the third-party provider, which remains solely responsible for compliance with applicable laws. Certain providers may require identity verification before allowing access to their settlement services. Depending on the provider, verification may be performed by the provider or Yodl Pay may collect and transmit the necessary information on the provider’s behalf. Approval criteria and decisions are determined solely by the provider.
Provider-specific terms, limits, processing times, exchange rates, refund processes, and fees vary by provider. The total amount shown in a payment quote includes any applicable fees or rates from the relevant provider.
Use of settlement features may require accepting terms, limits, or conditions set by the applicable provider. Yodl Pay does not control these provider-specific terms and is not responsible for their availability or performance.
Yodl Pay does not act as a payment intermediary, settlement agent, escrow agent, or fiduciary.
Any transfer of digital assets to a third-party provider is initiated directly by the user from the user’s own wallet and executed on-chain. Once such transfer is initiated, Yodl Pay is not involved in, and has no control over, the handling, conversion, settlement, or payout of such assets.
Any claims, disputes, losses, delays, chargebacks, refunds, or regulatory actions arising in connection with settlement services must be asserted exclusively against the relevant third-party provider.
6. Fees
Yodl Pay does not charge fees for same-token payments. A convenience fee may apply to payments that require token swaps or conversions.
For payments that settle into supported local or traditional payment networks, third party providers may apply their own fees, rates, or spreads. These provider applied amounts are included in the total quote shown before a transaction is confirmed. Yodl Pay does not add any additional fees beyond what is reflected in the quote. Provider fees and rates vary by provider.
7. Acceptable Use
You agree not to use Yodl Pay to:
- Violate any applicable law, regulation, or sanction;
- Engage in fraud, scams, or other unlawful activity;
- Interfere with or disrupt the operation of Yodl Pay;
- Attempt to gain unauthorized access to the Services or related systems;
- Infringe on the intellectual property rights of others.
Yodl Pay may suspend or restrict access in cases of misuse or non-compliance.
8. Third-Party Services
Parts of the Services rely on independent third party providers, including wallet infrastructure partners, identity verification services, and providers that support settlement into connected payment networks. These providers operate under their own terms, policies, and regulatory requirements. Yodl Pay does not control these providers and is not responsible for their availability, performance, actions, or compliance.
Use of features that interact with third party services may require agreeing to provider specific terms or meeting provider requirements, including identity verification where applicable. Provider decisions, rules, and approval processes are set solely by the relevant provider.
Yodl Pay does not endorse or assume responsibility for any third-party service used through the app. All interactions with such services are at the user’s discretion and subject to the provider’s terms.
9. No Agency
Use of Yodl Pay does not create any agency, partnership, joint venture, employment, or fiduciary relationship between you and Yodl Pay, or between Yodl Pay and any third-party partner. Each party acts independently and is solely responsible for its own obligations and compliance under applicable law. In particular, Yodl Pay does not act as agent, representative, or intermediary for users vis-à-vis any third-party provider, nor for providers vis-à-vis users.
10. Disclaimers
The Services are provided on an “as is” and “as available” basis without warranties of any kind.
Yodl Pay does not guarantee that the Services will be uninterrupted, timely, or error free and does not provide financial, investment, legal, or tax advice. Decisions related to digital assets, payments, or settlement through supported payment networks are made at the user’s discretion and risk.
For payments that involve settlement into local or traditional payment networks, all conversion, settlement, and compliance obligations are the responsibility of the applicable third party provider. Yodl Pay is not a counterparty to these transactions and does not assume responsibility for provider performance, provider availability, provider specific terms, exchange rates, refund practices, or any other aspect of provider services.
Users are responsible for ensuring that their use of the Services complies with all laws and requirements applicable in their jurisdiction.
11. Limitation of Liability
To the fullest extent permitted by law, Yodl Pay and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including any loss of funds, profits, revenue, or data, arising from or related to the use of the Services. Yodl Pay shall not be liable for any acts, omissions, insolvency, regulatory actions, or service failures of third-party providers.
The sole and exclusive remedy for dissatisfaction with the Services is to stop using Yodl Pay.
This limitation applies even if Yodl Pay has been advised of the possibility of such damages, and regardless of the legal theory on which a claim is based.
Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by law. Users acknowledge that any settlement-related risks lie solely with the provider they choose to use.
12. Privacy
Your use of Yodl Pay is subject to our Privacy Policy, available at https://yodl.me/privacy.
It describes how we collect, use, and share information in connection with your use of the Services.
13. Termination
You may delete your Yodl Pay account at any time.
We may suspend or terminate access to the Services if you breach these Terms or use Yodl Pay unlawfully. Termination does not affect your control of your wallet or assets.
14. Intellectual Property
All trademarks, software, and content associated with Yodl Pay are owned by Yodl Association or its licensors.
You may not copy, modify, or redistribute any part of the Services without written permission.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Switzerland.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Zug, Switzerland, unless otherwise required by local consumer-protection law.
16. Changes to Terms
Yodl Pay may update these Terms from time to time. Material changes will be communicated through the app or official channels.
Your continued use of Yodl Pay after an update constitutes acceptance of the revised Terms.
